Purpose of Role
- The Principal Counsel – Corporate has responsibility for managing the legal aspects relating to the corporate and finance activities of Harbour Energy.
- This is a key role as a valued business partner and as a contributor to the overall corporate & finance strategy of Harbour Energy.
- Working closely and effectively with Chief Corporate Legal & Compliance Officer, the Principal Counsel - Corporate will be a pragmatic and engaging leader who will advise and influence key business leaders.
- The Principal Counsel – Corporate will lead where relevant and actively support the Chief Corporate Legal & Compliance Officer on management of Harbour Energy’s disputes & litigation matters globally.
- The Principal Counsel – Corporate will have responsibility for advising and supporting Harbour Energy’s Corporate Finance, Investor Relations, Tax, M&A, M&T, HR, IS, Corporate Supply Chain and certain other corporate functions in relation to their respective global activities.
- The Principal Counsel – Corporate will mentor and contribute to the professional development of the Legal team.
Critical Responsibilities
- Ensuring that all activities are carried out in a safe manner complying with all regulatory requirements, legislation and Harbour Energy HSES Procedures
Ethics and Compliance Responsibilities:
- Ensure that all activities and behaviours are carried out in accordance with Harbour Energy’s Ethics and Compliance Policies and Procedures, and to complete any compulsory compliance training as required
Areas of Accountability, Responsibility and Competence:
- Focal point expert responsible for legal matters in the sphere of responsibility
- Provide leadership, advice and guidance to Chief Corporate Legal & Compliance Officer and the Leadership Team.
- Provide expert legal advice in respect of all corporate & financing matters globally.
- Effectively communicate all applicable legal and regulatory policies, processes and procedures and oversee the delivery of resources to accomplish Harbour Energy’s goals, strategies and priorities.
- Effectively draft, negotiate and review a wide variety of corporate, financing and other commercial agreements and proactively handle various matters through to resolution.
- Manage external legal advisers within budget and at the required quality.
- Proactively contribute to the delivery of the Harbour scorecard, ensuring legal risks and commercial opportunities are managed appropriately.
- Guide, mentor and manage legal professionals appropriately and effectively provide advice and encouragement to help them attain results and develop within their positions.
Critical Skills, Qualifications, Experience, etc.:
- Qualified English law or Scottish law solicitor or barrister with strong academic credentials and experience
- Proven ability to build credibility quickly (and with a high degree of emotional intelligence) and to communicate with impact
- Ability to build and maintain strong and collaborative relationships at all levels, both internally and externally
- Ability to work effectively in a developing business environment and strategic growth.
- Resilient under pressure, confident and able to adapt to change and new challenges and to support others to do the same
- A high degree of accountability and a willingness to take on new responsibilities with pragmatism and enthusiasm
- A commercially astute and proven business partner of integrity who is well-organised and able to work and manage numerous projects and conflicting demands
